These terms and conditions (hereinafter referred to as the "Terms") govern the use of the PeopleSol HRMS Software solutions (hereinafter referred to as the "Software") developed by AESS Solutions Private Limited (hereinafter referred to as "AESS Solutions", "we", "us", or "our"). By using our Software, you agree to be bound by these Terms.

License and Use of the Software:

AESS Solutions grants you a non-exclusive, non-transferable, revocable license to use the Software for your internal business purposes only. You may not use the Software for any other purpose without our prior written consent.

You may not modify, distribute, transmit, reproduce, or create derivative works based on the Software without our prior written consent.

Ownership of the Software:

AESS Solutions retains all rights, title, and interest in and to the Software and all intellectual property rights therein. You acknowledge that you have no ownership or other interest in the Software except as expressly set forth in these Terms.

Confidentiality:

You agree to keep confidential all non-public information related to the Software, including without limitation, the software code, technical information, and user data. You shall not disclose such information to any third party without our prior written consent.

Indemnification:

You agree to indemnify, defend, and hold harmless AESS Solutions, its directors, officers, employees, and agents from any and all claims, liabilities, damages, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Software, your violation of these Terms, or your violation of any law or third-party rights.

Limitation of Liability:

In no event shall AESS Solutions be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Software, whether in contract, tort, strict liability, or other legal theory, even if we have been advised of the possibility of such damages. Our liability to you for any and all claims arising out of or related to these Terms or the Software shall not exceed the amount paid by you to us for the Software.

Termination:

We may terminate your license to use the Software at any time for any reason or no reason by providing you with notice. Upon termination, you shall immediately cease using the Software and destroy all copies of the Software in your possession or control.

Governing Law:

These Terms shall be governed by and construed in accordance with the laws of Bhopal. Any dispute arising out of or related to these Terms shall be resolved in the courts of Bhopal.

Changes to these Terms:

We may update these Terms from time to time by posting the updated Terms on our website. Your continued use of the Software after the posting of the updated Terms shall constitute your acceptance of the updated Terms.
